Standard Terms of Business

Definitions
“Company” refers to Shelby & Bond LTD
“Client” refers to the contracting party receiving consultancy or trading services.
“Services” means the consultancy, advisory, or trading support provided by the Company.

Engagement of Services
Services will be provided under written agreement, proposal, or engagement letter.
Scope of work, deliverables, and fees will be confirmed in writing before commencement.


Fees and Payment
Fees are charged as agreed in writing with the Client (fixed fee, retainer, or day rates).
Invoices are payable within 3 business days of the invoice date unless otherwise agreed.
The Company reserves the right to charge interest on overdue sums at 4% above the Bank of England base rate.

Client Responsibilities
The Client shall provide timely access to information, personnel, and resources reasonably required for delivery of Services.
The Client warrants that all information provided is accurate and complete to the best of their knowledge.

Confidentiality
Both parties agree to keep all confidential information private and not disclose it without written consent, except as required by law.
This obligation survives termination of the agreement.

Data Protection
The Company complies with the UK GDPR and Data Protection Act 2018.
Any personal data shared will be processed lawfully and securely in accordance with the
Company’s Privacy Policy.

Intellectual Property
All intellectual property created by the Company in delivering Services shall remain the property of the Company until full payment is received.
Upon payment, the Client shall receive a non-exclusive, non-transferable licence to use deliverables for internal business purposes.

Liability
The Company’s liability is limited to the value of fees paid under the engagement giving rise to the claim.
The Company is not liable for indirect, consequential, or economic losses, including loss of profit, business, or opportunity.
Nothing in these Terms limits liability for death, personal injury, or fraud.

Termination
Either party may terminate the engagement with 30 days’ written notice.
The Company may terminate immediately if the Client fails to pay invoices or materially breaches these Terms.
On termination, the Client shall pay for Services provided up to the termination date.

Force Majeure

The Company shall not be liable for failure to perform obligations due to events outside its reasonable control (including strikes, natural disasters, acts of war, or regulatory restrictions).

Governing Law
These Terms are governed by the laws of England & Wales.
Any disputes shall be subject to the exclusive jurisdiction of the English courts
